دور الذكاء الاصطناعي في تطوير العقود الذكية وحل النزاعات القانونية

الملخص
يتناول هذا البحثُ الدورَ التحويليَّ للذكاء الاصطناعي (AI) في تطوير بنية العقود الذكية وإدارة منازعاتها والتعرف على طرق حل النزاعات القانونية متجاوزًا المقاربةَ التقليدية التي تتعامل مع خوارزميات سلسلة الكتل (Blockchain) كـبرمجياتٍ جامدةٍ ذاتِ تنفيذٍ آليٍّ حتميٍّ. وتسعى الدراسةُ إلى معالجة إشكاليةِ الصدامِ بين جمود الكود البرمجي ومقتضيات العدالة الموضوعية وقواعد القانون الخاص، مع التركيز على التعقيدات الناشئة في القطاعين: البنكيِّ والتأمينيِّ؛ لا سيما عجزُ البرمجة عن استيعاب البنود المرنة كـحسن النية المطلق، والمخاطرِ النظاميةِ المترتبةِ على الاعتماد على وسائط البيانات الخارجية (Oracles)، وإشكالياتِ المسؤوليةِ المدنيةِ عن القرارات الائتمانية المستقلة. كما تبحث الدراسةُ في آليات فض النزاعات الذكية وضماناتِ المحاكمة العادلة في مواجهة معضلةِ الصندوق الأسود والانحيازِ الخوارزميِّ. ولتحقيق ذلك، اعتمدت الدراسةُ على المنهجين: التحليليِّ والمقارنِ المدعومَيْن بالقراءة القضائية الاستشرافية، من خلال استقراءِ السوابقِ القضائيةِ المعاصرةِ في المحاكم الأمريكية وأحكامِ محكمةِ الاقتصاد الرقمي بمركزِ دبي المالي العالمي (DIFC) والقراراتِ التنظيميةِ لسلطةِ (VARA) وتخلص الدراسةُ إلى أن احتواء مخاطرِ التنفيذ التلقائي يتطلب الانتقال إلى نموذج العقود الهجينة التي تُعلي المرجعيةَ القانونيةَ النصيةَ على الكود، ودمجِ صماماتِ أمانٍ برمجيةٍ Circuit Breakers لوقفِ التنفيذ الآلي عند الطوارئِ أو الأوامرِ القضائيةِ، مع إخضاعِ عقودِ الذكاء الاصطناعي للبيئاتِ التجريبيةِ الرقابيةِ وتأسيسِ تحكيمٍ خوارزميٍّ مقيَّدٍ بالمراجعة والرقابةِ البشريةِ.................... الكلمات المفتاحية:............... العقود الذكية، الذكاء الاصطناعي، البلوكشين، التحكيم الخوارزمي، قطاع التأمين والبنوك، العقود الهجينة، صمامات الأمان، السوابق القضائية.
Abstract
This study investigates the transformative role of Artificial Intelligence (AI) in advancing the architecture of smart contracts and managing their legal disputes, moving beyond the conventional approach that treats Blockchain algorithms as merely rigid, deterministic self-executing software. The research addresses the fundamental tension between the rigidity of programmatic code and the substantive principles of justice and private law, with a particular focus on the emerging complexities within the banking and insurance sectors. These challenges encompass the inability of programmatic syntax to accommodate open-textured legal standards such as utmost good faith, the systemic operational risks arising from reliance on external data oracles, and civil liability dilemmas surrounding autonomous algorithmic credit-scoring decisions, Furthermore, the paper examines smart dispute resolution mechanisms and due process guarantees against the challenges of algorithmic bias and the black-box dilemma. Adopting an analytical, comparative, and forward-looking judicial methodology, the study analyzes recent landmark judicial precedents from United States federal courts, decisions of the Digital Economy Court at the Dubai International Financial Centre (DIFC), and regulatory frameworks established by the Virtual Assets Regulatory Authority (VARA).The study concludes that mitigating the perils of automated execution necessitates a structural transition toward hybrid contract architectures—subordinating executable code to authoritative natural-language legal terms. It further advocates for embedding software-level judicial circuit breakers to suspend execution during force majeure or court orders, subjecting AI-driven financial contracts to regulatory sandboxes prior to deployment, and instituting human-in-the-loop algorithmic arbitration to ensure judicial explain ability and due process.................
